Terms of Service

These Terms of Service ("Terms") govern your use of the Karavan Imports wholesale platform (the "Service") provided by Karavan Imports. By creating an account, submitting a wholesale application, or placing an order, you agree to these Terms.

1. Eligibility & Wholesale Accounts

The Service is intended for retail and business buyers, not for personal or consumer purchases. Access to wholesale pricing requires an approved wholesale application. We may approve, decline, suspend, or terminate accounts and access at our discretion.

2. Orders, Pricing & Availability

All orders are subject to product availability and to acceptance by Karavan Imports. Prices, minimum order quantities, and product availability may change without notice. In the event of a pricing or product information error, we may cancel or correct affected orders.

3. Payment

Unless otherwise agreed in writing, invoices are payable by wire transfer or ACH transfer per the payment instructions on your invoice. You are responsible for the accuracy of the banking information you provide and for any bank fees associated with your payment.

4. Shipping & Risk of Loss

Estimated delivery dates are not guaranteed. Title and risk of loss pass to you upon delivery to the carrier for shipped orders, or upon pickup for will-call orders. Please inspect received goods promptly and report any damage, shortage, or discrepancy so we can process credits or replacements.

5. Returns & Damaged Goods

Claims for damaged, defective, or short-shipped goods must be submitted promptly after receipt, including supporting photos where applicable. Approved claims may be resolved through credit, replacement, or refund at our discretion. Food and grocery products may have additional restrictions.

6. Disclaimer of Warranties

The Service and all products are provided "as is" and "as available" without warranties of any kind, whether express or implied, except as required by applicable law. We do not warrant that the Service will be uninterrupted or error-free.

7. Limitation of Liability

To the maximum extent permitted by law, Karavan Imports shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from or related to the Service or any product purchased through it. Our total liability shall not exceed the amount you paid for the products giving rise to the claim.

8. Intellectual Property

All content, trademarks, and materials on the Service are owned by or licensed to Karavan Imports and may not be copied, modified, distributed, or used commercially without our prior written consent, except product materials supplied to you for the purpose of reselling our products.

9. Account Termination

You may close your account at any time from your Buyer Dashboard (Quick Actions → Delete Account) or by contacting support@karavanimports.com. We may suspend or terminate accounts that violate these Terms or applicable law. Sections that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) shall survive.

10. Governing Law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be brought exclusively in the state or federal courts located in Minnesota.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Continued use of the Service after an update constitutes acceptance of the revised Terms.
